Please read these Terms of Use carefully. They govern your access to the demonstration of the SOLVE Chemistry App. By selecting “I accept the terms and conditions”, you accept these Terms and agree to be bound by them. If you do not agree, you must not access the Demo.
These Terms are provided by SOLVE Chemistry Ltd, a company incorporated in England and Wales with company number 15644569 and registered office at Scale Space, Wood Lane, London, England W12 7RZ ("SOLVE Chemistry", "we", "us" or "our").
The Service means the hosted SOLVE Chemistry App and its supporting platform. The Demo means the account-based, demonstration access mode of the Service that we make available under these Terms. An Account is the individual login used to access it. A User means an individual who creates or uses an Account to access the Demo. Data Upload Functionality means functionality that SOLVE Chemistry may make available under a separate written agreement to allow a User to upload or process their own data. Uploaded Data means files, information and related metadata submitted through Data Upload Functionality. Demo Materials means data, text, analyses, visualisations, predictions, results and other content selected or provided by SOLVE Chemistry through the Demo.
These Terms govern every User’s access to and use of the Demo, including where Data Upload Functionality is made available.
You must be at least 18 years old and legally capable of entering into these Terms. The Demo is not intended for children. You must not access it if applicable law prevents you from doing so.
You are responsible for activity carried out through your Account to the extent that it results from your failure to comply with these obligations. We may require reasonable information to verify an Account or protect the Demo against misuse.
In return for your agreement to comply with these Terms, SOLVE Chemistry grants you, subject to these Terms, a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Demo solely for evaluation and demonstration purposes. Access is provided free of charge and may be suspended or ended as set out in section 11.
The Demo is not a production service. It does not include service levels, guaranteed support, feature stability, data portability, disaster recovery commitments or any promise that a commercial version will be made available on particular terms.
SOLVE Technology means the technology and materials owned, developed or licensed by SOLVE Chemistry independently of any User, including algorithms, model architectures, code, workflows, toolchains, kinetic modelling frameworks, featurisation methods, pipelines, software and automation systems, together with any modifications or improvements to them.
SOLVE Chemistry owns the Demo data. SOLVE Chemistry and its licensors retain all right, title and interest, including all intellectual property and database rights, in and to the Service, the Demo, the Demo Materials and the SOLVE Technology. All rights not expressly granted in these Terms are reserved.
Except for the limited right expressly granted in section 4, these Terms do not transfer ownership or grant a licence to copy, publish, distribute, sell, sublicense, commercially exploit, create derivative datasets from, or remove proprietary notices from any part of the Demo or Demo Materials. You must not present Demo Materials as your own or as independently validated results.
If you voluntarily give us comments, ideas or suggestions about the Demo ("Feedback"), you confirm that you may do so and grant SOLVE Chemistry a perpetual, irrevocable, worldwide, royalty-free right to use and develop that Feedback without restriction or payment.

The Demo and Demo Materials are experimental and are provided solely to illustrate potential functionality. They may be incomplete, inaccurate, out of date, non-reproducible or unsuitable for a particular purpose. Similar inputs may not produce the same results, and the Demo may not reflect the performance, features or limitations of any later commercial service.
The Demo is not scientific, laboratory, safety, medical, legal, regulatory or other professional advice. Do not rely on the Demo or Demo Materials as the sole or primary basis for any decision or real-world activity. Any information you choose to consider must first be independently checked by appropriately qualified people using suitable methods, controls and authoritative sources. You are responsible for deciding whether and how to use information you have independently verified.
Our Privacy Notice explains how SOLVE Chemistry collects and uses personal data relating to registration, authentication, account administration, security, communications and use of the Demo. Please read it before creating an Account.
We may use third-party services to support functions such as authentication, hosting and communications. Your direct use of a third-party service may also be subject to that provider’s terms. SOLVE Chemistry is not responsible for a third-party service that is outside our control, but this does not reduce any right or remedy that applicable law does not allow us to exclude.
Access to the Demo may not be lawful in every location or for every person or purpose. You must comply with all trade sanctions, export-control and other laws that apply to you, SOLVE Chemistry or your use of the Demo.
You confirm that you are not subject to any applicable asset-freeze or access restriction. You must not access or use the Demo for the benefit of any person or entity that is subject to such restrictions or owned or controlled by such a person, from a location where providing access would be prohibited, or for a prohibited end use. We may ask for information reasonably needed to check compliance. Access may be refused, suspended or ended in accordance with section 11 where necessary to comply with applicable law or address a material compliance risk.
Demo access has no fixed expiry date, but it is not guaranteed to continue indefinitely. You may stop using the Demo at any time and may request closure of your Account by contacting us.
We may suspend or end access immediately where we reasonably believe that there is a breach of these Terms, misuse, fraud, an urgent security risk, a legal or regulatory requirement, or a material risk of harm to SOLVE, another person or the integrity of the Demo.
We may also change, pause or discontinue the Demo for operational, technical or commercial reasons. Where practicable, we will give reasonable notice before permanently ending access for those reasons.
When access ends, your right to use the Demo ends immediately. Personal data associated with your Account will be handled in accordance with our Privacy Notice.
We may update these Terms to reflect changes to the Demo, law, security, or our business. The current version and its effective date will be available on our website in a form that can be stored and reproduced.
If a change materially affects your rights or obligations, where practicable we will give reasonable advance notice and request renewed acceptance where required by law.
The Demo is provided free of charge, on an "as is" and "as available" basis. It is intended only as a demonstration. We do not promise that it will be uninterrupted, error-free, free from vulnerabilities or unauthorised access, complete or compatible with any particular device, or that Demo Materials will be accurate, reliable or fit for a particular purpose.
To the fullest extent permitted by law, all warranties, representations, conditions and other terms that might otherwise be implied by statute, common law or otherwise are excluded.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
We are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.
Subject to applicable law, SOLVE Chemistry will not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data arising out of or in connection with the Demo or these Terms.
Subject to applicable law, SOLVE Chemistry’s total aggregate liability for all other loss or damage arising out of or in connection with the Demo or these Terms will not exceed £100.
If Data Upload Functionality is made available, that functionality, Uploaded Data and outputs generated specifically from Uploaded Data are additionally governed by the applicable separate written agreement.
If there is a conflict between these Terms and a separate written agreement, the separate written agreement prevails to the extent of the conflict.
Entire agreement: These Terms constitute the entire agreement between the parties concerning Demo access, except for any separate written agreement described above.
Assignment: You may not transfer your rights or obligations under these Terms without our prior written consent.
No waiver: If either party delays or fails to enforce a right, that does not waive the right.
Severability: If a provision is held invalid or unenforceable, it will be removed or limited to the minimum extent necessary.
Third-party rights: A person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
Governing law and courts: These Terms and any non-contractual dispute or claim are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

At SOLVE Chemistry ("we", "us", or "our"), we are committed to protecting your personal data and ensuring transparency in how it is handled. This Privacy Notice explains what personal data we collect, how and why we use it, who we share it with, how long we retain it and the rights available to you when you use our software and services ("Service" or "SOLVE Chemistry App"). It applies to account holders and other individuals who interact with the Service. Where applicable law gives you additional rights, those rights are not affected by this notice.
We do not sell your personal information and we do not share it with third parties for advertising or marketing purposes. Any sharing of personal data is limited to the purposes described in this Privacy Notice and where otherwise permitted or required by applicable law.
When you register or sign in, we process account and authentication information, such as your name, email address, account identifier and organisation details. Authentication may be provided directly or through a third-party identity provider. We use this information to create, secure and administer your account.
Your name, email address and the authentication information required to establish your Account must be provided for us to create and administer the Account. If you do not provide this information, we cannot give you access to the Service.
We gather usage metrics to help us understand how our Service is used and to guide improvements to user experience and performance. This may include IP address, access time, browser or device information, pages and features used, and diagnostic or security events.
Data Upload Functionality means functionality made available under a separate written agreement that allows a user or organisation to upload or process its own data.
Uploaded Data means files, information and related metadata submitted through the Data Upload Functionality.
If you use the Data Upload Functionality, we process Uploaded Data to provide, secure and support the relevant paid service, comply with applicable law and perform the applicable written agreement. Uploaded Data may contain personal data if you or your organisation chooses to include it.
Where we process personal data contained in Uploaded Data on behalf of an organisation, we act on that organisation’s documented instructions and subject to the applicable data processing agreement.
We do not use Uploaded Data to train models for the benefit of other users unless the relevant account holder or organisation has expressly agreed in writing to that use.
When you contact us, request support or otherwise communicate with us, we process your contact details, the contents of your communications and related correspondence information. We use this information to respond to you, provide support and maintain appropriate records of our communications.

Personal data may be processed outside the country where you are located. Where applicable law requires a transfer safeguard, we use an approved transfer mechanism, an adequacy decision or another lawful basis for the transfer. We retain personal data only for as long as reasonably necessary for the purposes described in this notice or as required by law. Account information and configuration data are retained while the account remains active.
Following deletion or termination of an Account, we delete or anonymise all personal data from our active systems within 14 days. Limited information may be retained for longer where reasonably necessary to maintain records of contractual acceptance, investigate security events, comply with legal obligations or establish, exercise or defend legal claims. Limited copies may also remain temporarily in backups until deleted through our normal backup-retention processes.
Uploaded Data is deleted or returned in accordance with the applicable written agreement and data processing agreement.

The Service is not intended for anyone under 18. We do not knowingly collect personal data from anyone under 18. If we learn that an individual under 18 has created an Account, we will take reasonable steps to delete the relevant personal data and close the Account.
We may update this Privacy Notice to reflect changes in law, features, or practices from time to time. We will publish the latest version on our website. The "Last updated" date reflects the latest revision. If a change materially affects how we use personal data or your rights, we will provide additional notice where required by law.
